Acceptance of Terms

By accepting this TOS or by accessing or using the Service or Site, you acknowledge that you have read, understood, and agree to be bound by this TOS. If you are entering into this TOS on behalf of a business or other legal entity, you represent that you have the authority to bind such entity and its affiliates to this TOS.

Holdings may change this TOS from time to time by providing thirty (30) days prior notice either by emailing the email address associated with your account or by posting a notice on the Site. The revised terms and conditions will become effective thirty (30) days after we post or send you notice of such changes.

Description of Service

The "Service" includes (a) the Site, (b) Holdings' asset management services and related technologies, and (c) all software, data, reports, text, images, sounds, video, and content made available through any of the foregoing. Any new features added to or augmenting the Service are also subject to this TOS.

All information provided in connection with your access and use of the Site and the Services is for informational purposes only and should not be construed as professional advice. Before you make any financial, legal, or other decisions involving the Services, you should seek independent professional advice.

Holdings does not provide investment, tax, or legal advice, nor does Holdings broker trades on your behalf. You are solely responsible for determining whether any transaction or service is appropriate for you based on your own financial objectives, circumstances and risk tolerance.

General Conditions

• Subject to the terms and conditions of this TOS, you may access and use the Service only for lawful purposes.
• You shall not sublicense, resell, rent, lease, transfer, or commercially exploit the Service.
• You shall not use the Service in any unlawful manner or in any manner that interferes with the Service.
• You shall not modify, adapt or hack the Service or attempt to gain unauthorized access.

Your Content

You are solely responsible for all data, information, and content that you upload, post, or transmit in connection with the Service. By posting content through the Service, you grant Holdings a worldwide, non-exclusive, perpetual, irrevocable, royalty-free license to use, modify, reproduce, distribute, display, publish and perform your content in connection with the Service.

Payment

To the extent the Service or any portion thereof is made available for any fee, you will be required to select a payment plan and provide payment information. You agree to pay Holdings the amount specified in the payment plan. Holdings reserves the right to change prices, and your continued use of the Service after the price change constitutes your agreement to pay the changed amount.

Termination

Holdings may terminate your Account and this TOS at any time. In addition to any other remedies, Holdings may terminate this TOS upon thirty (30) days' notice if you breach any terms. Holdings reserves the right to modify or discontinue the Service temporarily or permanently.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND HOLDINGS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL HOLDINGS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE SERVICE.

Dispute Resolution

Any dispute arising from or relating to the subject matter of this TOS shall be finally settled by arbitration in New York County, New York, using the English language in accordance with the Arbitration Rules and Procedures of JAMS.
